JUDGE HALTS PARAMOUNT-WARNER BROS MERGER FOR 14 DAYS

A California judge has granted a temporary restraining order pausing the proposed $110 billion merger between Paramount Skydance and Warner Bros. Discovery. District Judge Araceli Martínez-Olguín signed the order on Monday following a hearing in Oakland on Friday. The 14-day pause prevents either party from advancing the deal whilst the lawsuit proceeds. State attorneys general, led by California's Rob Bonta, filed the lawsuit citing antitrust concerns.

The proposed acquisition would consolidate major assets under single ownership, including the Paramount and Warner Bros film studios, CBS broadcast network, pay TV channels including CNN, TNT, MTV and BET, and streaming services Paramount+ and HBO Max. The state attorneys general argue the merger violates the Clayton Antitrust Act, the over-100-year-old legislation prohibiting anticompetitive acquisitions. Paramount stated in a Monday statement that it believes the "State AGs' antitrust arguments are without merit" and that the merger is "lawful, pro-competitive, and will benefit consumers, creators, workers, and the entertainment industry." Warner Bros. declined to comment on the matter.

Paramount indicated it would defend the transaction vigorously through forthcoming hearings on the lawsuit's substance. The temporary restraining order represents the first significant official obstacle to the deal since its announcement. The merger now faces substantive antitrust scrutiny from multiple state authorities, with the 14-day period allowing both parties to prepare their respective legal arguments.
